Q. Who is the local investor group?
A. The local investor group is led by Wes Jones, John Lemkemeier and Spencer Finney. Their bios are attached below. Other investors include David Anderson, Bob Balk, Parker Condie Jr., Bob Glatz, Bob Hermann Jr., Tom Hillman, Craig Hoagland, Bruce Olson, Bill Polk and David Schlafly.
Q. When will the transaction be completed?
A. The transaction will close after the licenses and permits that are necessary to operate the business have been issued by government agencies. We anticipate that this issuance could take several months.
Q. What will the transaction mean for day to day operations of the business?
A. There are no changes anticipated.
Q. Will there be any management changes?
A. There will be no changes to the existing management team. Dan Kopman will continue to lead the daily operations of the company as CEO.
Q. Will there be changes in the Board?
A. There will be a new Board after the transaction closes. Tom Schlafly will serve as Chairman of the new Board. The other Board members will be Mr. Kopman, Mr. Jones, Mr. Lemkemeier and Mr. Finney.
Q. What will be Tom Schlafly’s role going forward?
A. In addition to serving as Chairman of the Board, Mr. Schlafly will continue to work to actively promote the beer brand, attending events at the Breweries and events in our trade areas.
Q. Do you have more information about the shares that will be made available to eligible employees?
A. Details of a future employee offering, including the criteria for eligibility, are still being finalized.
Bios for Leaders of Local Investment Group
John Lemkemeier is co-founder and a managing member of Sage Capital LLC, a private equity firm based in St. Louis. Sage Capital focuses on making long term investments in privately-held businesses in partnership with management. Prior to founding Sage Capital, Mr. Lemkemeier was president of Contec Inc., a manufacturer of consumable products used in cleanrooms and other critical manufacturing environments. He serves on the boards of Store Supply Warehouse LLC, Randall Manufacturing LLC and Hermann Oak Leather Company. Mr. Lemkemeier is a graduate of Harvard Law School, Princeton University and John Burroughs School. He is married to Mary Lemkemeier and has three children.
Wesley Jones is co-founder and a managing member of Sage Capital LLC, a private equity firm based in St. Louis.
Sage Capital focuses on making long term investments in privately-held businesses in partnership with management. Prior to co-founding Sage Capital, Mr. Jones served for over twenty years in the investment banking industry for Goldman Sachs, Credit Suisse, The Blackstone Group and Bear Stearns. For five years he was also an adjunct professor of finance at Washington University’s Olin School of Business. He serves on the boards of Store Supply Warehouse LLC, Randall Manufacturing LLC and Janet McAfee, Inc. Mr. Jones is a graduate of University of Pennsylvania Law School, Amherst College and Saint Louis Country Day School. He is married to Nancy Ylvisaker and has two children.
Spencer Finney is a member of Sage Capital LLC, a private equity firm based in St. Louis.
